How to change shareholders

To change shareholders for an Estonian company online, follow these steps:

  1. Log in to the Estonian Business Register portal at https://ariregister.rik.ee/.

  2. Select the company you wish to modify from your dashboard.

  3. Click on "Manage Shareholders" in the menu.

  4. Click on the "Add shareholder" button and fill in the required information about the new shareholder, including their name, address, and the number of shares they will receive.

  5. If the previous shareholder(s) are selling their shares, click on the "Remove" button next to their name and enter the details of the buyer(s) to transfer the shares.

  6. Click on "Save" to submit the changes.

  7. Pay the state fee (if applicable) and sign the changes electronically with your Estonian ID card, Mobile-ID, or Smart-ID.

  8. Once the changes have been approved, the new shareholding structure will be updated in the Estonian Business Register.

It's worth noting that if the new shareholder is a legal entity, you'll need to provide additional documentation, such as a notarized copy of the legal entity's registration certificate and a resolution from its management board authorizing the acquisition of the shares.
